Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AdForge Studios platform operated by Ad Forge Studios, LLC ("AdForge," "we," "our," or "us") at adforgestudios.com. By creating an account or using the platform you agree to these Terms. If you do not agree, do not use the platform.
1. Description of Service
AdForge is a SaaS platform for marketers and agencies. The current production scope (v1) covers:
- Brand, product, persona, and audience workspaces
- AI-generated ad copy, headlines, and image creatives
- Consumer intelligence reports built from publicly-available web data
- Design Review sessions (simulated persona-based feedback on creatives)
- Ad Kits (multi-asset campaign bundles per platform)
- DOCX and PDF export of intelligence reports
Video generation and AI voiceover features exist in the codebase but are not part of v1 and may be released later under updated Terms. Features marked "beta," "preview," or "experimental" may change or be discontinued without notice.
2. Service Level & Beta-Equivalent Status
AdForge is offered as a paid product but operates at a beta-equivalent service maturity. We provide the platform on a commercially reasonable best-effort basis:
- No binding uptime SLA at any current subscription tier. We target high availability but do not commit to a specific uptime percentage or credit schedule.
- Recovery Point Objective (RPO): up to 24 hours. Our managed database is backed up daily; we do not currently run point-in-time recovery. In a worst-case disaster you may lose up to 24 hours of work.
- Recovery Time Objective (RTO): best effort, target ≤ 1 hour for database restore.
- Object storage (uploaded logos, inspiration images, generated creative files) is not currently replicated cross-region. Loss of the primary storage bucket would result in loss of these files. We retain prompts and parameters and can regenerate AI-generated images in many cases, but user-uploaded assets are not recoverable in that scenario.
- We may schedule maintenance windows and ship breaking changes during the v1 period.
Enterprise customers may negotiate a separate written agreement that supersedes this section.
3. Accounts
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us at support@adforgestudios.com immediately if you suspect unauthorized access.
AdForge is currently targeted at the United States market. Availability and feature parity outside the US are not guaranteed.
4. Subscriptions, Billing & Refunds
- Tiers: Essential, Starter, Pro, and Agency. Each tier has monthly usage limits (brands, personas, images, intelligence reports, audiences, Design Reviews, Ad Kits) defined in the platform UI. Limits reset on each billing-period boundary.
- Billing: Subscriptions are billed monthly or annually via Stripe. All fees are stated in USD. You authorize Stripe to charge your payment method on the recurring schedule you select.
- Cancellation: You may cancel at any time from Settings → Subscription or by emailing support@adforgestudios.com. Cancellation stops future renewals; the current period continues until its end date.
- Refunds: Subscription fees are non-refundable except (a) where required by applicable law, or (b) at our sole discretion in cases of platform fault. Pro-rated refunds are not issued for mid-period cancellations. To request a refund, email support@adforgestudios.com within 7 days of the charge.
- Per-report cost cap: Intelligence reports have a per-report hard spend cap enforced server-side. If a report exceeds the cap before completion, it terminates and is marked partial.
- Price changes:We may change pricing with at least 30 days' notice by email or in-app notice. Price changes apply to renewals after the notice period.
- Taxes: Stated prices exclude sales, use, VAT, or similar taxes. You are responsible for any such taxes applicable to your jurisdiction.
5. AI-Generated Content
Read this section carefully — it limits what you can rely on.
AdForge uses third-party AI models to generate text and images. AI output is probabilistic and may contain factual errors, fabricated statistics, outdated information, biased framing, or unintentional resemblance to third-party works. You are solely responsible for reviewing and verifying all AI-generated content before publishing, distributing, sharing with clients, or using it in a paid advertising campaign.
AI outputs are not professional advice. Do not use them for medical, legal, financial, regulatory, tax, accounting, or safety-critical decisions.
Intelligence reports cite publicly-available data scraped from third-party sites. Recency, completeness, and accuracy of that source data are best-effort and not guaranteed. The presence of a brand-safety filter (such as the unusable_for_creative flag on certain pain points) is a quality aid, not a guarantee.
Phrases such as "agency-grade," "deep research," or "essential" describe a quality target and a feature tier, not a contractual guarantee of outcome, performance, or accuracy.
6. Ownership & Licenses
- Your content.You retain all rights to the brand information, product data, copy, uploaded logos, and other materials you submit ("Customer Content").
- License to us. You grant AdForge a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and adapt your Customer Content solely to (a) operate and improve the platform for you, (b) generate the outputs you request, (c) investigate suspected abuse or Terms violations, and (d) comply with law. We do not use your Customer Content to train foundation AI models for third parties.
- Generated outputs.Subject to your compliance with these Terms, you own the AI-generated text, headlines, images, and reports produced for you ("Outputs"). Because AI is probabilistic, we cannot and do not guarantee that the same or similar Outputs will not be generated for other customers, and we make no representation that Outputs are free of third-party IP claims — see Section 7.
- Platform IP. AdForge retains all rights in the platform itself, including its software, UI, data models, prompt templates, ad-format definitions, and the systems that produce the Outputs.
- Aggregated & anonymized data. We may compute and use aggregated, de-identified usage statistics (counts, error rates, cost telemetry) to operate, secure, and improve the platform. Such data will not identify you or your customers.
7. IP Clearance & Third-Party Rights
You are responsible for ensuring you have the right to upload, use, and publish any logos, product images, inspiration images, names, slogans, or other materials you submit to AdForge, and for clearing any third-party intellectual property rights before publishing AI Outputs in a commercial context. AdForge does not provide an IP indemnity for AI-generated content.
8. Acceptable Use
Your use of AdForge is also governed by our Acceptable Use Policy. In summary, you may not:
- Use the platform or its Outputs to deceive, defraud, or harm third parties (including deepfakes of real people, fake reviews, or false claims about products)
- Generate or distribute illegal, harassing, defamatory, sexually explicit, hateful, or violent content
- Use Outputs to violate the advertising policies of Meta, Google, LinkedIn, TikTok, or any other platform on which you place the ads
- Use AdForge Outputs to train, fine-tune, or evaluate a competing AI model or to build a competing intelligence / creative-generation product
- Scrape, crawl, or programmatically extract data from AdForge itself outside of documented APIs
- Resell intelligence reports as a standalone product without material value-add
- Create accounts in bulk via automation, evade usage caps, or share a single account across multiple end users in violation of your tier
- Probe, attack, or attempt to compromise the platform's security, isolate other tenants' data, or bypass Row-Level Security
Compliance with the policies, laws, and regulations applicable to ads you publish (including FTC disclosure rules, COPPA, sector-specific rules for finance / health / etc.) remains your responsibility.
9. Suspension & Termination
We may suspend or terminate your account, or refuse service to anyone, if we reasonably believe you have violated these Terms or the Acceptable Use Policy, if your account is delinquent, if required by law, or to protect the platform or other users. Where practical, we will give notice and an opportunity to cure.
You may close your account at any time from Settings. On closure, data is retained briefly per our Data Retention Policy and then permanently deleted.
10. Warranty Disclaimer
THE PLATFORM AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, RELIABLE, OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ADFORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY OUTPUTS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ADFORGE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
12. Indemnification
You agree to defend, indemnify, and hold harmless AdForge, its affiliates, and their respective officers, directors, employees, and agents from any third-party claim arising out of (a) Customer Content you submitted, (b) your use of Outputs, (c) your violation of these Terms or the Acceptable Use Policy, or (d) your violation of any law or third-party right.
13. Privacy
Our handling of personal information is described in the Privacy Policy, the Data Retention Policy, and the Subprocessors page. These documents are incorporated into these Terms by reference.
14. Changes to These Terms
We may update these Terms from time to time. For material changes we will provide at least 14 days' advance notice by email or in-app notice. Continued use of AdForge after the effective date constitutes acceptance of the updated Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the platform will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction in those courts. The UN Convention on Contracts for the International Sale of Goods does not apply.
16. General
- Entire agreement. These Terms, together with the policies referenced above, are the entire agreement between you and AdForge regarding the platform and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
